1. Call to Order – Chairperson
:The meeting was called to order at 4:34 pm by the chair.

2. Roll Call – Secretary
:a. Apologies from Michael Paquette, and Zach McCauley
:b. John Neitz joined at 4:35pm
:c. Absent Mike Romero, Matthew Parker

3. Financial Report – Treasurer
:a. Reports were received ahead of the meeting by email.
:b. Kerry Kuhn discussed the financial position at this point in time.  Expenses exceeding income by ~$400 this quarter, for the year excess of $1100 most of which is the inventory purchase of over $6k
::  i. Dice being added to the store.
:: ii. Updating postage rates that were losing us money.
::iii.Expecting to finish the year up on the year start.  
:c. Motion to accept by Geoff Strayer, seconded by David Misener; Vote by acclamation unanimous. 

4. Committee Reports
:a. All committee reports received by email in advance.
::  i. Chair discussed with EC chairman about lack of written reports in EC
:: ii.Motion to adopt by Kerry Kuhn, seconded by Geoff Strayer vote by acclamation unanimous.

6. New Business
:a. Acknowledgment of the following actions that were taken between meetings:
::  i.Approval of Minutes of September 7, 2025 Regular Meeting
:: ii.Approval of Minutes of October 25, 2025 Special Meeting
::iii.Motion to accept by David Misener, seconded by Kerry Kuhn; Vote by acclamation unanimous.

:b. Amendments to Bylaws
::  i. PROPOSED BYLAW CHANGES for Dec 2025 received by email ahead of meeting
:: ii. Not enough members present to allow a successful vote on changing the bylaws.   
::iii. Geoff Strayer did not feel that there was anything urgent that the steering committee needed to enact immediately. 
:: iv. Motion to table 6B and 6C until the next meeting by David Misener, seconded by Geoff Strayer; Vote by acclimation unanimous.

:c. Amendment to Policies
::  i. Policy Amendments for December 2025 meeting  received by email ahead of meeting
:: ii. Tabled in 6b.iv

:d. Appointment of Chair and Members of 2026 Nominating Committee:
::  i. Geoff Strayer, Chair
:: ii. John Neitz, Vice Chair
::iii. Colin Lloyd, Secretary
:: iv. The board chair nominated the above members.
:::1. John Neitz is not seeking re-election to the board, so he is eligible to serve, and since he chaired last year, using his experience would be sensible. 
::  v. Motion to accept by Kerry Kuhn, seconded by David Misener; Vote by roll call unanimous.

:e. Ratification of the TRMN President’s action in serving as Chair Pro Temp of the TRMN Disciplinary 
::  i. Committee during the month of October 2025.
:: ii. This was not ratified at the special meeting, so we are reverting to approving that action.
Motion to accept by David Misener, seconded by Kerry Kuhn; Vote by roll call unanimous.

:f. Approval of Affiliate Agreement with Tom Pope/BuNine
::  i. Agreement with Tom Pope / BuNine received by email ahead of meeting
:: ii. This is the second affiliate agreement
::iii. Is separate entity than DW and WoW 
:: iv. Motion to accept by Geoff Strayer, seconded by David Misener; Vote by roll call unanimous, chair voted aye
::  v. Discussion Geoff Zoeller is a member of BuNine, but there are no officers in BuNine, and the only signatory on that side is Tom Pope.

7. Executive Session - Personnel Matter (The Board will meet in closed session)
:a. Motion to go into executive session by John Neitz, seconded by Kerry Kuhn; Vote by roll call unanimous.
:b. Motion to return to public session by Kerry Kuhn, Geoff Strayer; Vote by acclamation unanimous. 

8: Public Action on the Executive Session Discussion Items may be taken.
:a. John Neitz moved to adopt the third recommendation advised by the Legal Officer, as: 
Motion to allow the individual discussed in closed executive session to take on their new position with the understanding that any purposeful misuse of their access to the MEDUSA database will result in removal from the organization.
:b. Motion by John Neitz, seconded by David Misener; Vote by roll call vote unanimous, chair also voted aye.

9. Schedule Next Meeting - Chairperson
:a. DONM will be determined in follow-up discussion due to members not present
